United National Collieries Limited.—The report for the year 1913 states that the net profit is .£117,591 and £42,284 was brought forward, making £159,875. After transferring to reserve account for the purposes of capitalisation £32,856 the directors recommend placing to reserve (making the account £60,000) £30,000 and a final dividend of 2s. per share, free of income-tax, on the ordinary shares, carrying forward £16,562. The construction of the coal washery, coke ovens and by-product plant at Risca is proceeding. During the year a scheme was formulated by the directors and adopted by the shareholders whereby each of the former £10 shares was subdivided into 10 shares of £1 each and the nominal capital increased to £800,000 by the creation of 400,000 new shares of £1 each, namely, 200,000 six per cent, cumulative preference shares of £1 each and 200,000 ordinary shares of £1 each, the latter ranking pari passu with the then existing shares. Of such additional share capital 165,890 preference and 165,890 ordinary shares were issued as fully paid to the shareholders in satisfaction of the bonus declared out of the sums standing to the credit of the reserve account. It was considered advisable in carrying out the above scheme that the National Collieries Development Company Limited, which was formed by this company in 1910, should be wound up voluntarily, and as the result thereof the assets of that company passed into the possession of this company prior to the closing of the accounts. The vacancy caused by the death of Mr. Hugh Watts has been filled by the appointment of Mr. Stanley Hilson Burgess, and Mr. James Miles has been appointed to fill the other vacancy on the board. Vagliano Anthracite Collieries Limited —Mr. Justice Astbury has dismissed a motion on behalf of Mr. Vagliano to discharge an order by the registrar appointing Sir William Blender, without a committee of inspection, to be liquidator of Vagliano Anthracite Collieries Limited. Waterloo Engineering Company Limited—This private company has been registered with a capital of £5,000 in £1 shares to carry on the business of ironfounders, mechanical engineers, &c. First directors : W. Williams, W. H. Sitwell and C. S. McIntire. Registered office, 14, Waterloo- place, S.W. Yorkshire Engine Company Limited—In their annual report for the year 1913, the directors state that the trading shows a profit of £12,077 4s. 5d., as compared with £3,473 10s. lOd. for the year 1912 and £1,653 for 1911. Interest and charges paid to bankers in respect of the debentures held by them absorb £1,325 0s. lid., leaving a balance of £10,752 3s. 6d. to go in reduction of the debit balance, which will be reduced thereby to £8,741 17s. Id. The directors have closed the unfortunate motor works by treating as loss the amount standing on the asset side of the balance-sheet in respect of this venture at December 31, 1912, less parts sold and on hand. The debit balance of £8,741 17s. Id. is thus raised to £24,668 16s. The directors filled the vacancy on the board resulting from the death of the late Mr. Emerson Bainbridge by electing Mr. Charles F. Ward Jones. THE FREIGHT MARKET. The outward freight market on the north-east coast continues to have a very limited amount of activity. Coasting rates are based on the low figures of 3s., Tyne to London, and from 3s. 3d. to 3s. 4^d. to Hamburg. The Mediterranean is weaker, at from 7s. 3d. to 7s. 4|d. to Genoa. The Bay is firmer at 5s. 3d. to Bordeaux. The Baltic has been done at 4s. 4|d. to Aalborg. At South Wales chartering is quiet. The Mediterranean is a shade steadier, with some little scarcity of tonnage. South America is firmer. Other directions are unaltered. At the Clyde, a small business at easy rates is reported. The Humber is more active, and rates tend to improve. Homewards, there is a poor demand- for tonnage at the River Plate, and several vessels are being diverted elsewhere in ballast. There is a little more enquiry at the Black Sea at the recently lowered rates, but forward chartering is very restricted. The Eastern markets are dull and easy. The Mediterranean and ore trades are unaltered. America is weak. The Baltic is steady.
